Terms of Service

1. Introduction & Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Pinitto platform and its associated services ("Service"). This is a binding agreement between you or the community you represent, and Mnemoly Community S.R.L.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. User Accounts

You must be at least 16 years of age to create an account and use the Service. You are responsible for maintaining the security of your account and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3. Subscriptions, Commercial Terms, and Payments

Access to certain features of the Service requires an active subscription. All payments and subscriptions are processed by our Merchant of Record, Paddle.com.

Active Member Definition: For plans based on usage, an 'Active Member' is defined as a Registered User who, within the applicable Billing Cycle, meets at least one of the following criteria: (i) performs a Contribution Action (creating a post, reply, event, or resource); or (ii) completes at least three (3) Qualifying Sessions. A 'Qualifying Session' is a period of interaction with the Platform of any duration, with a new session recorded only after at least thirty (30) minutes of inactivity.

Cancellation: You may cancel your subscription at any time. Your access to paid features will continue until the end of your current billing period.

Refunds & Right of Withdrawal: We offer a 14-day, no-questions-asked refund period for all new subscriptions. If you are not satisfied with the Service for any reason, you may request a full refund within 14 days of your initial purchase. This policy also serves as your statutory 14-day right of withdrawal for consumers in the European Union. To request a refund, please contact us via our refund page within the platform.

4. User Conduct and Content

You are solely responsible for your conduct and any data, text, information and content you post or create within the Service. You agree not to:

  • Engage in or promote any illegal activities, including listing prohibited items as defined in the addendums below
  • Harass, abuse, or harm another person or group
  • Distribute spam or any form of unsolicited advertising
  • Post content that is fraudulent, defamatory, or obscene

Content Ownership: The community, and by extension its members, retain ownership of the content they create on the Service. However, you grant Pinitto a limited, non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute this content as necessary to operate and provide the Service.

5. General Role of Pinitto & Limitation of Liability

The Service is provided "as is" and "as available" without any warranties. Pinitto acts as a neutral information aggregator, providing the utilitarian means for community members to interact. We are not a party to any agreements or transactions made between users. Pinitto does not organize, vet, or endorse any user-generated content, shared items, or carpools. We are not involved in disputes between users and are not liable for any damages or losses arising from your interactions with other users.

6. Addendum A: Carpooling Feature

The Carpool feature is a high-risk activity. By using this feature, you explicitly agree to the following terms:

  • Non-Commercial Use Only: The Carpool feature is strictly for non-commercial cost-sharing. Drivers are prohibited from charging passengers an amount that exceeds a pro-rata share of direct travel costs (e.g. fuel, tolls). Using the Platform to generate profit or income is a material breach of these Terms
  • Platform Neutrality: Pinitto is an information service, not a transportation carrier. We do not set prices, dispatch drivers, or guarantee transportation
  • Insurance and Safety Disclaimer: Pinitto does not provide any form of automobile insurance. Drivers are solely responsible for ensuring their personal auto insurance policy permits carpooling. Pinitto does not conduct background checks (criminal or driving record) on any user
  • Assumption of Risk: Passengers and drivers use the carpooling feature entirely at their own risk. You acknowledge the inherent risks and agree that Pinitto is not liable for any accidents, injuries, or damages that may occur

7. Addendum B: Library & Resource Sharing

The lending and borrowing of physical items via the Library feature carries inherent risks. By using this feature, you explicitly agree to the following terms:

  • Mere Intermediary: Pinitto provides only the information infrastructure to list items. Pinitto does not possess, inspect, maintain, or verify the safety of any item listed
  • "As-Is" Condition: All items are lent and borrowed in "AS IS" condition, without any warranty from Pinitto of merchantability or fitness for a particular purpose. The responsibility to inspect an item for safety and functionality lies solely with the Borrower
  • Assumption of Risk: The Borrower acknowledges that using borrowed items, especially tools, involves inherent risks of injury, disability, or death. The Borrower voluntarily assumes all such risks
  • Prohibited Items: You are strictly prohibited from listing illegal, highly regulated, or inherently dangerous items, including but not limited to firearms, explosives, hazardous chemicals, and prescription medical devices
  • Indemnification: The Borrower agrees to indemnify and hold harmless Pinitto and the Community Admin from any claims arising from their use of a borrowed item

8. Digital Services Act (DSA) Compliance

Notice and Action Mechanism: In compliance with the DSA, you can report content you believe is illegal by using the "Report" button associated with the content. Please provide a substantiated explanation for why you believe the content is illegal. We will confirm receipt and review your notice in a timely manner.

Statement of Reasons: If we remove content or suspend an account, we will provide the affected user with a clear "Statement of Reasons" explaining our decision, referencing the relevant clause in these Terms.

9. Termination

We reserve the right to suspend or terminate your account for violations of these Terms or for any illegal activities. For most violations, we will issue one warning before terminating your account. No second warning will be provided. Severe violations may result in immediate termination without warning.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Romania and, where applicable, the laws of the European Union.
